RECITALS

A.    Hampshire County Council (“the Author”) is the absolute owner of the entire copyright in the literary works included under the [E-Learning/Young Interpreters/Sold services] sections of the Moodle virtual learning environment (“the Works”).

B.    The Author agrees to licence the Works to you and, in accepting these terms, you agree to accept such the terms of the licence.

NOW THE PARTIES AGREE as follows:

1.    Licence

In consideration of the licence fee paid by you (if applicable) or your employer, the Author grants to you a non-exclusive licence in accordance with the Works (“this Licence”). 

2.    Intellectual Property
2.1     You acknowledge that the copyright and all other intellectual property rights (“the IPR”) in the Works or any part of the Works is and remains the property of the Author and that the Works must only be used or dealt with by you as provided for in this Licence.
2.2    You shall indemnify the Author against any loss which it suffers as a result of your use of the IPR.

2.3    If you become aware of any infringement of the Author’s IPR or any claim that your use of the IPR infringes anyone else’s rights, you shall inform the Author in writing as soon as possible and thereafter render to the Author whatever assistance it reasonably requires in any action which it may take against an infringer.

3.    General
3.1    You must ensure that the Works are not adapted, amended or subjected to any treatment which is prejudicial to the honour or reputation of the Author.
3.2    You are only entitled to use electronic or printed copies of the Works within your organisation.

3.3    You must not sell, offer to sell or sub-licence the Works, or any or all of the rights granted to it under this Licence other than in accordance with this Licence, without the prior written consent of the Author.

4.    Warranties

4.1    The Author warrants that to the best of the Author’s knowledge, and subject to any further warranties set out in Schedule 1, it has the authority and power to grant the rights set out in the Licence and that the Licence does not infringe any other person or organisation’s rights.
4.2   We do not guarantee that the site or any content on it, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of the site for business and operational reasons.

5.     Data Protection

Hampshire County Council (HCC) is the data controller for the information used to register you on the HCC Moodle and for the information collected by it. HCC will use your name, email address and the name of the organisation you are studying with to register you on the HCC Moodle. We may email you should new learning modules become available. Moodle collects information including your progress and the modules that you have completed and these may be made accessible to your place of study. HCC will not use your personal information for any other purpose. We will only retain your personal information for the duration of the specific contract with the registration organisation.

6.    Termination
6.1    The Author may terminate this Licence if you fail to comply with or observe any of the provisions of this Licence and, if requested by the Author, fails to remedy the failure within the time specified by the Author.
6.2    In the event of termination all rights of the Author granted under this Licence shall be terminated and you shall immediately cease to use in any manner whatsoever the Works.

6.3    Termination of this Licence shall not affect the Author’s right to payments and information related to payments under this Licence.
